These Terms of Service ("Terms") govern your access to and use of Foreman AI, operated by NovaWorks Digital ("Company," "we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms.

1. Description of Service

Foreman AI provides AI-powered voice receptionist services for contractors and service businesses. Our service includes:

  • AI voice agents that answer calls on behalf of your business
  • Call handling, booking, and lead qualification
  • Call recording, transcription, and analytics
  • Knowledge base management for AI training
  • Client portal for call monitoring and reporting
  • Integration with third-party CRM and scheduling systems

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal authority to bind your business to these Terms. By creating an account, you represent that you meet these requirements.

2.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and complete information
  • Notifying us immediately of any unauthorized access
  • Keeping your contact information up to date

2.3 Business Information

You agree to provide accurate information about your business, including services, hours, and policies. This information is used to train your AI receptionist and directly affects call handling quality.

3. Call Recording and Compliance

3.1 Recording Notice

Our AI agents inform callers that calls may be recorded. You acknowledge that:

  • All calls handled by our service may be recorded
  • Recordings are used for quality assurance, training, and service delivery
  • You have reviewed the recording notice script and consent requirements

3.2 Compliance Responsibility

Important: You are solely responsible for ensuring compliance with all applicable laws regarding call recording in your jurisdiction, including but not limited to:

  • Federal and state/provincial wiretapping laws
  • One-party vs. two-party consent requirements
  • Industry-specific regulations (healthcare, finance, etc.)
  • Consumer protection laws

We provide tools and default configurations to assist with compliance, but you bear ultimate responsibility for understanding and following applicable laws.

4. Acceptable Use

You agree not to use our service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit harmful, fraudulent, or deceptive content
  • Impersonate any person or entity
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to any systems
  • Use the service for illegal telemarketing or spam calls
  • Collect information about callers for unauthorized purposes
  • Use automated scripts to access the service (except through our API)

5. Service Level and Availability

5.1 Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency repairs or updates
  • Third-party service outages (telecommunications, cloud providers)
  • Events beyond our reasonable control

5.2 AI Limitations

You acknowledge that AI technology has inherent limitations. Our AI agents may occasionally:

  • Misunderstand caller requests or intent
  • Provide incorrect information if knowledge base is incomplete
  • Fail to handle complex or unusual scenarios
  • Transfer calls to your designated backup number when appropriate

You are responsible for maintaining your knowledge base and providing fallback contact methods for situations the AI cannot handle.

6. Fees and Payment

6.1 Subscription Plans

Our service is offered on a subscription basis. Current pricing and plan details are available on our website or through your account dashboard. Fees may include:

  • Monthly or annual subscription fees
  • Setup fees for new accounts
  • Usage-based fees (call minutes, phone numbers)
  • Additional fees for premium features

6.2 Payment Terms

  • Fees are billed in advance on a recurring basis
  • Payment is due upon invoice
  • We accept major credit cards via our payment processor (Stripe)
  • All fees are in the currency specified at checkout
  • Fees are non-refundable except as expressly stated

6.3 Price Changes

We may change our fees with 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new fees.

6.4 Taxes

You are responsible for all applicable taxes. We will collect and remit taxes where required by law.

7. Phone Numbers

7.1 Number Provisioning

We provision phone numbers through our telecommunications partners. Numbers are:

  • Licensed to you for use with our service only
  • Subject to telecommunications regulations
  • Not transferable outside our platform

7.2 Number Porting

If you wish to port an existing number to our service or port a number away upon termination, additional terms and fees may apply. Contact support for details.

8. Intellectual Property

8.1 Our Property

The service, including all software, AI models, designs, and documentation, is owned by NovaWorks Digital and protected by intellectual property laws. You receive a limited, non-exclusive license to use the service as permitted by these Terms.

8.2 Your Content

You retain ownership of content you provide (business information, knowledge base content). You grant us a license to use this content to provide and improve the service.

8.3 Feedback

If you provide suggestions or feedback about our service, we may use it without obligation to you.

9. Data and Privacy

Your use of the service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the service, you consent to our data practices as described in the Privacy Policy.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information. This includes your business information and call data, and our proprietary technology and business information.

11. Term and Termination

11.1 Term

These Terms are effective when you create an account and continue until terminated. Subscription terms renew automatically unless cancelled.

11.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

11.3 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Abuse or misuse the service

11.4 Effect of Termination

Upon termination:

  • Your access to the service will be disabled
  • Phone numbers will be released (unless ported)
  • You may request export of your data within 30 days
  • Data will be deleted according to our retention policy
  • Outstanding fees remain due

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF AI-GENERATED RESPONSES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVAWORKS DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless NovaWorks Digital, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Content you provide through the service
  • Your failure to comply with call recording laws

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@foremanai.com to attempt to resolve the dispute informally.

15.2 Governing Law

These Terms are governed by the laws of the Province of Nova Scotia, Canada, without regard to conflict of law principles.

15.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in Halifax, Nova Scotia, in accordance with Canadian arbitration procedures. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NovaWorks Digital regarding the service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

16.5 Modifications

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use after changes take effect constitutes acceptance.
